1. Introduction and acceptance of these Terms
These Terms and Conditions (the "Terms") govern your access to and use of HEXBILL, an online billing, quotation, inventory and business management service made available at www.hexbill.in and its sub-pages (together, the "Service"). The Service is owned and operated by The Blue Sky International (referred to in these Terms as "HEXBILL", "we", "us" or "our").
By creating an account, ticking the acceptance box on the sign-up page, or using any part of the Service, you confirm that you have read, understood and agree to be bound by these Terms, together with any policies referred to in them. If you are accepting these Terms on behalf of a business, firm, company or other organisation, you confirm that you have the authority to bind that organisation, and "you" refers to that organisation as well as to you personally.
If you do not agree with any part of these Terms, you must not create an account and you must not use the Service.
These Terms form an electronic record under the Information Technology Act, 2000 and the rules made under it, as amended from time to time. This electronic record is generated by a computer system and does not require any physical or digital signature.
2. Definitions
In these Terms, unless the context requires otherwise:
- "Account" means the account you create on the Service to access its features.
- "User", "you" or "your" means any person or business that registers for or uses the Service.
- "Business Data" means all information you enter into or upload to the Service, including your firm details, products, prices, stock, bills, quotations, business partner details, logos, signatures, stamps, payment details and images.
- "Basic Plan" means the free level of the Service with the features we make available without payment.
- "Premium Plan" means the paid level of the Service, which unlocks the features we describe as Premium features for the paid period.
- "Free Trial" means the 15-day period of Premium access given to a new Account at sign-up, as described in Section 7.
- "Business Partner" means a customer, supplier, party or other person whose details you save in the Service.
- "Stock Request" means the feature through which a bill made by one User to another User's GST number can be offered to the receiving User for addition to their stock.
- "Share Link" means a private web link generated by the Service that allows a bill or quotation to be viewed and downloaded by anyone who has the link.
- "OTP" means a one-time password sent by the Service to your registered email address.
3. Eligibility and account registration
You must be at least 18 years of age and competent to enter into a contract under the Indian Contract Act, 1872 to use the Service. The Service is intended for business use by traders, shopkeepers, service providers, manufacturers, professionals and other businesses.
To register, you must provide accurate, current and complete information, including your firm name, owner name, business address, mobile number, email address and, where applicable, your Goods and Services Tax Identification Number ("GSTIN"). You must keep this information up to date.
You may register as a business that has a GSTIN or as a business that does not have a GSTIN. A business registered without a GSTIN may later add its GSTIN from its settings, subject to Section 5. Once a GSTIN is added to an Account, it cannot be changed or removed by you.
You must not register an Account using another person's identity, email address, mobile number or GSTIN, or create an Account on behalf of someone without their authority. We may refuse registration, or suspend an Account, where we reasonably believe the information provided is false, incomplete or misleading.
4. Email verification, login and account security
Every new Account must be verified by entering the OTP sent to the email address provided at registration. An Account cannot be used until its email address is verified. Registrations that are not verified may be deleted automatically, after which the same email address, mobile number or GSTIN can be used again to register.
Password resets are completed only through an OTP sent to the email address registered on the Account. You are responsible for keeping access to that email address secure. Anyone who controls your email address may be able to reset your password.
You are responsible for maintaining the confidentiality of your password and OTPs, and for all activity that takes place under your Account. Never share an OTP with anyone. HEXBILL staff will never ask you for your password or an OTP.
You must notify us immediately at skyserverindia@gmail.com if you become aware of any unauthorised use of your Account or any other breach of security. We are not liable for any loss arising from unauthorised use of your Account where you have failed to keep your credentials secure.
For your protection, the Service limits repeated failed login, OTP and password-reset attempts, and may temporarily block further attempts. Sessions may expire after a period of inactivity, after which you will need to log in again.
5. One Account per GST number
Each GSTIN may be registered to only one Account on the Service. Once a GSTIN has been registered with an email address, the same GSTIN cannot be used to register or be added to any other Account. You must not attempt to create multiple Accounts for the same GSTIN, business or person in order to obtain additional Free Trials, avoid payment, avoid a suspension, or for any other purpose.
If you believe your GSTIN has been registered by someone else without your authority, contact us at skyserverindia@gmail.com with proof of your registration. We may, at our discretion and after verification, transfer, suspend or close the Account concerned.
The mobile number and email address on each Account must also be unique. We may merge, suspend or close duplicate Accounts, and may withdraw any Free Trial or Premium access obtained through duplicate Accounts.
6. The Service
The Service lets you, among other things: create and manage bills (tax invoices and bill invoices) and quotations; calculate Goods and Services Tax (CGST, SGST and IGST) on the rates you select; download bills and quotations as A4 PDF files; maintain products, prices and stock; save Business Partners; receive and accept Stock Requests; view sales reports; customise invoice designs; and, on the Premium Plan, share documents by WhatsApp and email.
We may add, change, improve, limit or remove features of the Service from time to time. We will try to give reasonable notice of significant changes that materially reduce the features of a paid Premium Plan during its paid period.
The Service is a software tool. It does not provide legal, tax, accounting or financial advice, and it does not file returns with any tax authority on your behalf.
7. Free Trial
Every new Account receives a Free Trial of the Premium Plan for 15 days from the date of registration. During the Free Trial you can use the Premium features at no charge.
At the end of the Free Trial, your Account automatically moves to the Basic Plan unless you have activated a paid Premium Plan. No payment is taken automatically and you are not charged for the Free Trial.
Only one Free Trial is available per business, person, GSTIN, email address and mobile number. We may cancel a Free Trial obtained through duplicate or false registrations.
When your Account moves to the Basic Plan, your Business Data remains in your Account. Premium-only features, such as WhatsApp and email sharing, stock management, stock requests, quotation-to-bill conversion, additional invoice designs, design customisation and UPI QR codes on bills, will be locked until you activate the Premium Plan.
8. Plans, prices and payment
The Premium Plan is offered for a period of one (1) year from the date of activation at the price displayed on the Upgrade page at the time of payment (currently ₹1,499.00 per year). Prices may be revised from time to time; a revised price applies only to payments made after the revision.
Payment is made directly to the bank account or UPI ID displayed on the Upgrade page. After paying, you must submit the transaction ID or UTR number, the amount, the payment date and, where requested, a screenshot of the payment. You must submit only true and genuine payment information.
Prices are inclusive of any applicable taxes unless stated otherwise. You are responsible for any charges levied by your bank or payment app.
We do not store your card details, UPI PIN or net-banking passwords. Never share these with anyone, including anyone claiming to represent HEXBILL.
9. Instant activation and verification of payment requests
To give you immediate access, the first payment request submitted from an Account is activated instantly. When you submit your first request, your Account is moved to the Premium Plan straight away, before we have checked the payment.
Every instantly activated request is later verified by us against our bank and UPI records. If we find that the payment was not received, the amount received is less than the plan price, the transaction details are incorrect, duplicated or belong to another payment, or the information submitted is false or misleading in any other way, we will cancel the Premium Plan. Your Account will then return to the Basic Plan, and we will show you the reason for the cancellation in your Account.
Instant activation is available only once per Account. Any later request, including a renewal and any request made after an earlier request was rejected or cancelled, is not activated instantly. Your Account stays on its current plan (normally the Basic Plan) until we have verified and approved the payment.
We aim to review payment requests within two (2) working days. If a request is rejected, you may submit a corrected request. Submitting false payment information, or repeatedly submitting incorrect requests, may lead to suspension or termination of your Account under Section 23.
When a renewal is approved while a Premium Plan is still active, the new one-year period is added to the end of the current period.
10. Expiry and downgrade
When a Premium Plan expires and is not renewed, the Account automatically moves to the Basic Plan. Your bills, quotations, products, partners and other Business Data remain available on the Basic Plan, subject to Section 21.
Bills you created with Premium invoice designs are displayed and downloaded using the standard design while your Account is on the Basic Plan. Your saved design settings are kept and apply again when you reactivate the Premium Plan.
11. Refunds and cancellations
Because Premium access is activated immediately or on approval and gives you access to digital features straight away, fees paid for a Premium Plan are generally non-refundable, including where you stop using the Service part-way through the paid period.
If you paid twice for the same period by mistake, or were charged an amount different from the displayed price, contact us at skyserverindia@gmail.com within thirty (30) days of the payment with the transaction details. After verification, we will refund the excess amount to the original payment source or extend your plan, at our choice.
Where we cancel a Premium Plan under Section 9 because payment was not received, no refund is due. Where a payment was genuinely received but a plan is cancelled because of an error on our side, we will restore the plan or refund the amount received.
12. Your responsibility for bills, taxes and compliance
You are solely responsible for the content, accuracy and legal compliance of every bill, tax invoice, quotation and other document you create using the Service. This includes the correctness of your GSTIN, your Business Partners' GSTINs and details, HSN/SAC codes, tax rates, place of supply, prices, discounts, quantities and invoice numbering.
The Service performs calculations based on the information and tax rates you enter. It does not check whether a tax rate, HSN/SAC code or classification is correct for your goods or services, whether an invoice meets every requirement of the Central Goods and Services Tax Act, 2017 and the rules made under it, or whether e-invoicing or e-way bill requirements apply to you. You should consult a qualified tax professional where needed.
You are responsible for filing your own tax returns, maintaining books of account and records as required by law, and preserving copies of your invoices for the period required by law. We recommend that you regularly download and keep your own copies of your documents.
You must not use the Service to create fake, inflated, backdated, duplicate or misleading invoices, to claim or pass on input tax credit wrongfully, or for any other fraudulent purpose.
13. Acceptable use
You agree not to, and not to allow anyone else to:
- use the Service for any unlawful purpose or in breach of any applicable law, including tax laws, consumer protection laws and the Information Technology Act, 2000;
- upload or share content that is false, defamatory, obscene, infringing, hateful, or that impersonates another person or business;
- attempt to gain unauthorised access to the Service, other Users' Accounts or data, or our servers, networks or systems;
- probe, scan or test the vulnerability of the Service, or bypass any security, rate-limit or authentication measure;
- use bots, scrapers or automated tools to access or extract data from the Service, including looking up GST numbers in bulk;
- upload viruses, malware or any code designed to harm or interfere with the Service;
- resell, sublicense, rent or commercially exploit the Service without our written permission;
- copy, modify, decompile or reverse engineer any part of the Service, except as permitted by law;
- send spam or unsolicited messages to Business Partners or others using the Service's email or WhatsApp features;
- interfere with or disrupt the Service or place an unreasonable load on our infrastructure.
We may investigate suspected breaches of this Section and may suspend access, remove content, or report matters to the relevant authorities where required.
14. Your Business Data
You retain all ownership rights in your Business Data. You grant us a limited, non-exclusive, royalty-free licence to host, store, process, copy, display and transmit your Business Data only as needed to operate, secure, maintain, support and improve the Service and to comply with law.
You confirm that you have all necessary rights and consents to enter your Business Data into the Service, including personal data of your Business Partners and their contact persons, and to use it as the Service allows.
You are responsible for the accuracy of your Business Data and for keeping your own backups of important records.
15. Privacy and data protection
We process personal data in accordance with applicable Indian law, including the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 and the Digital Personal Data Protection Act, 2023, as and when its provisions apply.
We collect the information you give us at registration and while using the Service, together with technical information such as login times, IP addresses and device or browser details that we use for security, fraud prevention and troubleshooting. Passwords are stored only in hashed form. One-time passwords are stored only in hashed form and expire after a short time.
We use personal data to provide and secure the Service, to verify your email address and payments, to send you service messages such as OTPs, activation and rejection notices, and to meet legal obligations. We do not sell your personal data.
Your Business Data is accessible only to you after login, and to authorised HEXBILL administrators where needed for support, payment verification, security or legal compliance. Our systems check on every request that the logged-in User owns the record being requested.
Where you are a Data Fiduciary for your Business Partners' personal data, you are responsible for having a lawful basis and giving any required notice for processing that data. You may request access to, correction of, or deletion of your personal data by writing to skyserverindia@gmail.com, subject to our legal record-keeping obligations.
16. Business Partners, GST auto-fill and Stock Requests
When you enter a GSTIN for a Business Partner, and that GSTIN belongs to another registered User, the Service may automatically fill in that User's firm name, address, mobile number and email address to save typing. By registering your GSTIN on the Service, you agree that your firm name, address, mobile number and email address may be shown in this way to other logged-in Users who enter your exact GSTIN.
When another User creates a bill in your GSTIN, the Service may send you a Stock Request showing that bill's items and quantities. Accepting a Stock Request adds those items to your stock in the Service; rejecting it makes no change. Accepting a Stock Request does not by itself confirm that you received the goods or that the bill is correct for tax purposes. You remain responsible for verifying purchases and for your own tax records.
17. Communications and sharing
By registering, you agree to receive service emails from us, including OTPs, security alerts, plan activation, expiry, verification and rejection notices, and important changes to the Service or these Terms.
When you use the email feature, the Service sends your bill or quotation from our email system to the address you enter, with your firm name shown as the sender name and your registered email set as the reply-to address. You are responsible for sending documents only to the correct recipients and for the content of your messages.
When you use the WhatsApp feature, the Service opens WhatsApp on your device with a prepared message and a Share Link. The message is sent by you, through your own WhatsApp account, and is subject to WhatsApp's own terms.
18. Share Links
Each bill and quotation has a private Share Link made up of a long random code. Anyone who has the Share Link can view and download that one document without logging in. Share Links are not listed or searchable, but you should share them only with the intended recipient.
If a Share Link has been sent to the wrong person, you can make it stop working by deleting the document. We are not responsible for disclosure caused by you or your recipients forwarding a Share Link.
19. Logos, signatures, stamps and other uploads
You may upload your logo, signature, stamp, UPI QR code, background images and payment screenshots. You confirm that you are authorised to use every image you upload and that it does not infringe anyone's rights.
Your signature and stamp are printed on the bills and quotations you create and are visible to anyone who receives those documents or their Share Links. Upload a signature or stamp only if you intend it to appear on your documents. You are responsible for all documents issued with your signature or stamp through your Account.
For security, uploaded images are checked and re-processed by the Service, and may be resized or compressed. Uploads are stored in private storage and can be viewed in the application only by their owner or authorised administrators.
20. Third-party services
The Service relies on third parties, including hosting providers, email delivery services and messaging applications such as WhatsApp. We are not responsible for the availability, security or actions of third-party services, and your use of them may be subject to their own terms and privacy policies.
21. Availability, maintenance and backups
We try to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, upgrades, or events beyond our reasonable control.
We take regular backups of the Service's database. However, we do not guarantee that your Business Data can be restored in every situation, and you should keep your own copies of important documents.
If your Account is closed, or remains inactive with no login for a continuous period of twenty-four (24) months, we may delete your Business Data after giving at least thirty (30) days' notice to your registered email address, except where we must keep it longer by law.
22. Intellectual property
The Service, including its software, design, invoice layouts, text, graphics, the HEXBILL name and logo, and all related intellectual property rights, belongs to us or our licensors. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.
You may use the invoice designs provided in the Service only to create documents for your own business through the Service. You must not copy them for use in any other product or service.
If you send us feedback or suggestions, we may use them without any obligation to you.
23. Suspension and termination
You may stop using the Service at any time and may ask us to close your Account by writing to skyserverindia@gmail.com from your registered email address.
We may suspend or terminate your Account, or restrict access to any feature, with or without notice, if: you breach these Terms; you submit false registration or payment information; you create duplicate Accounts; we suspect fraud, misuse or a security risk; we are required to do so by law or by a competent authority; or your use exposes us, other Users or third parties to harm or liability.
On termination, your right to use the Service ends immediately. Sections 11, 12, 14, 22, 24, 25, 26, 29 and any other provisions that by their nature should survive will continue to apply after termination.
24. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that tax calculations, amounts in words, reports or other outputs will be free from errors in every case, or that documents created with the Service will satisfy the legal requirements that apply to your particular business. You must review every document before issuing it.
25. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or tax credit, arising out of or in connection with the Service, even if we have been advised of the possibility of such loss.
Our total liability to you for all claims arising out of or relating to the Service or these Terms, in contract, tort or otherwise, will not exceed the amount you paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim, or one thousand rupees (₹1,000), whichever is higher.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
26. Indemnity
You agree to indemnify and hold harmless HEXBILL, The Blue Sky International, and their owners, employees and agents from and against any claims, demands, penalties, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: your use of the Service; documents you issue using the Service; your Business Data; your breach of these Terms; or your violation of any law or of the rights of any third party.
27. Force majeure
We will not be liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, epidemics, fire, flood, war, terrorism, riots, government action, failure of internet, power or telecommunication networks, or failures of hosting or email providers.
28. Changes to these Terms
We may update these Terms from time to time. The version and date of these Terms are shown at the top of this page. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the effective date of the updated Terms means you accept them. If you do not agree to the updated Terms, you must stop using the Service.
29. Governing law, jurisdiction and dispute resolution
These Terms are governed by the laws of the Republic of India.
Before starting any legal proceedings, you agree to first contact us at skyserverindia@gmail.com and give us at least thirty (30) days to try to resolve the dispute informally.
Subject to the above, the courts at the competent courts at Panipat will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
30. Grievance redressal and contact
If you have any complaint, question or grievance about the Service, your Account, your data, or these Terms, please contact our grievance officer by email at skyserverindia@gmail.com. We will acknowledge your complaint within forty-eight (48) hours and try to resolve it within fifteen (15) days of receipt.
31. General
These Terms, together with any policies referred to in them, are the entire agreement between you and us about the Service and replace any earlier understanding.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.
Our failure to enforce any right or provision is not a waiver of that right or provision.
You may not assign or transfer your Account or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or to a successor to our business.
Headings are for convenience only and do not affect the meaning of these Terms.
